1. Who these terms are between

These terms apply to every contract between Bijan Sabbagh Sani Azad, Dezhost (Einzelunternehmen), Kottbusser Straße 4, 10999 Berlin, Germany, who offers Teculiar as a brand ("Teculiar", "we") and the person or company that orders a Teculiar system ("you"), whether you are a consumer or a business. Different terms of yours don't apply unless we agree to them in writing.

2. What Teculiar is

Teculiar is hosting billing software that we run for you: a storefront, billing, domains and provisioning, a client portal and a support desk, on servers in Germany. You get your own system at yourname.teculiar.net. What each plan includes is described on our pricing page when you order.

3. Contract and your account

A contract starts when you finish checking out, including an order for the Free plan, and your system is created. You must give correct details and keep your sign-in details safe. You are responsible for what happens in your system and for your own customers, their contracts and their data.

4. Plans, prices and payment

Prices are shown in US dollars, before tax. Whether VAT is charged follows the applicable tax law and is shown on your invoice. You can pay in euros; the checkout shows the exact amount before you pay. Paid plans are billed monthly or yearly in advance and are due when invoiced.

We never charge by the number of your clients, invoices or revenue. The Free plan includes up to 50 active clients, where an active client is a customer with at least one active or suspended service. The limits of each plan are the ones on our pricing page.

5. A price that stays put

Your plan renews at the price you ordered it at. If we raise prices for new customers, yours stays where it was. If we lower the price of your plan, your next renewal uses the lower price.

6. The Free plan

We may raise the limits of the Free plan. We don't lower them for systems already on it.

7. Limits and plan changes

A limit never blocks your customers' renewals, payments, sign-ins, tickets or services. If you go over a limit, we only stop you from adding more until you are back under it. When you move to a smaller plan, anything over the new limit keeps working. Upgrading is invoiced for the rest of the paid term; a downgrade starts at the end of it.

8. Cancelling and refunds

You can cancel at any time. Your plan runs to the end of the period you paid for. When a system is cancelled it is disabled, not deleted, and we keep it for 90 days. In that time you can export your data or come back to it. After that, we ask you before anything is deleted.

If you change your mind within 14 days of your first payment, we refund it in full. Consumers also have the statutory right of withdrawal; it lapses for services we have fully provided at your express request before the period ends.

9. Your content and your customers' data

Your data stays yours. We process it only to run your system. Where we process personal data on your behalf, that is covered by a data processing agreement under Article 28 GDPR, which we will sign on request.

10. Acceptable use

You will not use a system to store or send illegal or infringing content, to send spam, or to attack other systems, and you will not overload the platform. If you do, we may suspend the system at once, and we tell you why.

11. Availability and liability

We work for high availability but can't promise uninterrupted service; maintenance and faults can interrupt it. We are fully liable for intent, gross negligence, injury to life, body or health, and where the law makes us liable. For slight negligence we are liable only for breach of an essential contractual duty, and then only for the damage that was foreseeable when the contract was made. Keep your own copy of the data you can't afford to lose; the admin can export it.

12. Changes to these terms

We may change these terms for good reason, such as a change in the law or in the product. We tell you by email at least 30 days before a change that affects you. If you don't agree, you can cancel before it starts.

13. Law and courts

German law applies, without the UN sales convention. For consumers this holds only as far as it doesn't take away protection that the law of the country you live in gives you. If you are a business, the place of jurisdiction is Berlin.
